The decision taken by the Management Board and the Supervisory Board of PGE Polska Grupa Energetyczna S.A. on planned announcement of tender for shares of Polenergia S.A. – disclosure of delayed inside information

The Management Board of PGE Polska Grupa Energetyczna S.A. (“PGE”), acting on the basis of the article 17 paragraph 1 and 4 of Regulation of the European Parliament and of the Council number 596/2014 of April 16, 2014 on market abuse (market abuse regulation) and repealing Directive 2003/6/EC of the European Parliament and of the Council and Commission Directives 2003/124/EC, 2003/125/EC and 2004/72/EC (“MAR”) hereby publicly announces the content of inside information, that have been delayed on May 22, 2018 on the basis of article 17, paragraph 4 of MAR.

Delayed inside information were:

- information on the decision taken on May 22, 2018 by the Management Board of PGE to approve the acquisition of shares of Polenergia S.A. and to approve the announcement of tender for sale of shares of Polenergia S.A.

The content of delayed inside information: “The Management Board of PGE Polska Grupa Energetyczna S.A. (“PGE”) discloses that on May 22, 2018 the Management Board of PGE decided to approve the acquisition of shares of Polenergia S.A. and to approve the announcement of tender for sale of shares of Polenergia S.A.”

- information on the decision taken on May 22, 2018 by the Supervisory Board of PGE, according to the request by the Management Board of PGE, to approve the acquisition of shares of Polenergia S.A. by PGE, in accordance with § 18 section 2 p. 1. c) and p. 6) of PGE’s Statutes

The content of delayed inside information: “The Management Board of PGE Polska Grupa Energetyczna S.A. (“PGE”) discloses that on May 22, 2018 the Supervisory Board of PGE, according to the request by the Management Board of PGE, decided to approve the acquisition of shares of Polenergia S.A. by PGE, in accordance with § 18 section 2 p. 1. c) and p. 6) of PGE’s Statutes.”
