Signing of an agreement for use of LNG regasification services within Open Season FSRU 2 procedure

The Management Board of PGE Polska Grupa Energetyczna S.A. ("PGE", the "Company") discloses that, as a result of conclusion of the Open Season FSRU 2 procedure ("OS FSRU2”) – the procedure carried out by Operator Gazociągów Przesyłowych GAZ-SYSTEM S.A. (the "Operator") on the reservation of regasification capabilities of the planned Floating Storage Regasification Unit 2 – the Company on June 23, 2026 has signed with the Operator the Regasification Agreement FSRU and Regasification Order FSRU (jointly the „Agreement”). On the ground of the Agreement the Company obtained the right to use the LNG regasification services in FSRU 2 for the period of 15 years. The estimated level of financial commitment of the Company amounts to approximately PLN 2.8 billion starting from the commissioning date of the FRSU 2 terminal. The Agreement value was estimated as at its signing date on the base of the indicative tariffs for the regasification services indicated by the Operator for the needs of OS FSRU 2. The actual fees will be determined every time in the binding tariff set by the Operator and subject to approval by the President of the Energy Regulatory Office.

The obtained regasification capabilities constitute element of diversification of natural gas sources supplies for the PGE Capital Group and increase its fuel contracting abilities outside of domestic market. Along with the Agreement PGE has signed with the Operator and other terminal users the Agreement for Slots Sharing for the period of regasification services use.

The Agreement is conditional in such meaning that the Operator has until July 31, 2026 the right to take negative Final Investment Decision in cases determined in OS FSRU2 documentation, what will be equal to resignation by the Operator from the investment implementation and expiry of the agreements concluded with the users. PGE will publish separate report only in case described above.

Project covered by Open Season for FSRU 2 assumes location in the Gdańsk area, in the vicinity of FSRU 1, of the second floating unit, able to unloading, storing and regasification of LNG. FSRU 2 terminal is to be adapted to conduct the regasification process at the level from 4.5 to 6.1 billion cubic metres of the gas fuel annually. The commissioning of the terminal is planned for 2030.
