Registration of the change to the Statutes

The Management Board of PGE Polska Grupa Energetyczna S.A. (“PGE”, the “Company”) discloses that on September 13, 2018, the District Court of the City of Warsaw in Warsaw, XII Commercial Division of the National Court Register registered the change to the Company’s Statutes, made on the ground of resolution no. 4 of the Ordinary General Meeting of the Company of June 26, 2018.

According to the above mentioned resolution, in § 16 clause 4 of the PGE’s Statutes item 5, stating that the deadline for the submission of applications by candidates may not be shorter than 14 days from the date of the publication of an announcement about a recruitment procedure for the PGE’s Management Board members, is deleted and the previous item 6 is numbered as item 5. The Management Board of PGE attaches to this report a consolidated text of the Statutes including the above change.

Legal ground: § 5 point 1 and § 6 of the Regulation of the Minister of Finance dated March 29, 2018 on current and periodic information published by issuers of securities and on conditions under which such information may be recognized as being equivalent to information required by the regulations of law of a state which is not a member state.
