Publication of financial statements of companies consolidated in retail sales business segment

The Management Board of PGE Polska Grupa Energetyczna S.A. (“PGE”, “Company”) informs that on August 16, 2010 the resolutions were adopted with regard to the merger, pursuant to article 492 § 1 item 1 of Commercial Companies Code, of PGE Obrót S.A. with companies: PGE Lubelskie Zakłady Energetyczne S.A., PGE Łódzki Zakład Energetyczny S.A., PGE Zamojska Korporacja Energetyczna S.A., PGE Zakład Energetyczny Warszawa-Teren S.A., PGE Zakład Energetyczny Białystok S.A., PGE ZEŁT Obrót Sp. z o.o., PGE Zakłady Energetyczne Okręgu Radomsko – Kieleckiego S.A. („Retail Sales Acquired Companies”) and of PGE Elektrownia Bełchatów S.A. with companies: PGE Elektrownia Turów S.A., PGE Elektrownia Opole S.A., PGE Kopalnia Węgla Brunatnego Bełchatów S.A., PGE Kopalnia Węgla Brunatnego Turów S.A., PGE Zespół Elektrowni Dolna Odra S.A., PGE Elektrociepłownia Lublin - Wrotków Sp. z o.o., PGE Elektrociepłownia Kielce S.A., PGE Elektrociepłownia Rzeszów S.A., PGE Elektrociepłownia Gorzów S.A., PGE Zespół Elektrociepłowni Bydgoszcz S.A., Energetyka Boruta Sp. z o.o., Przedsiębiorstwo Energetyki Cieplnej Sp. z o.o. w Gryfinie, Przedsiębiorstwo Energetyki Cieplnej Gorzów Sp. z o.o. („Conventional Energy Acquired Companies”). The above transactions are part of consolidation of PGE Capital Group, which is carried out under the Consolidation Program of PGE Capital Group.In connection with the ongoing merger transactions mentioned above, the Management Board of PGE attaches to this current report financial statements for years 2007-2009 of Retail Sales Acquired Companies. The above mentioned financial statements are available only in Polish.Legal ground: Art. 56 section 1 point 1 of the Act on public offering, conditions governing the introduction of financial instruments to organised trading, and public companies (Dziennik Ustaw of 2009, no 185 item 1439).
