Proposal of the Management Board of PGE Polska Grupa Energetyczna S.A. regarding distribution of profit for 2012 and part of reserve capital

The Management Board of PGE Polska Grupa Energetyczna S.A. (the “Company”) informs that on March 13, 2013 it decided to address the Company’s Annual General Meeting with a motion for approval of suggested distribution of net profit for 2012 and distribution of part of reserve capital, suggested dividend date and dividend payment date.

The Management Board of the Company decided to propose a distribution of the net profit for 2012 in amount of PLN 783,997,742.44 and distribution of part of reserve capital which can be allocated for dividend payment in amount of PLN 823,996,570.50 in a following way:

- for a dividend for shareholders - PLN 0.86 per share.

The Management Board of the Company proposes payment of dividend in a total amount of PLN 1,607,994,312.94.

The proposed dividend date is September 5, 2013 and the proposed dividend payment date is September 26, 2013.
