Contents of the report

The Management Board of PGE Polska Grupa Energetyczna S.A. (“PGE”, “Company”) discloses that on May 5, 2014, the Supervisory Board of PGE has appointed KPMG Audyt Sp. z o.o. („KPMG Audyt”), as an entity entitled to audit financial statements. PGE intends to conclude the agreement with KPMG Audyt for review of interim consolidated financial statements for the period from January 1, 2014 to March 31, 2014. KPMG Audyt Sp. z o.o. with its registered office in Warsaw, 51 Chłodna St., is entered into the register of entities authorised to audit financial statements under number 458. In accordance with the agreement signed in 2010, KPMG Audyt has provided its services to the Company with regard to audit of stand-alone financial statements and consolidated financial statements of the capital group for periods ended December 31, 2010-2013 and review of interim condensed stand-alone financial statements and consolidated financial statements of the capital group for periods ended June 30, 2011-2014.

The selection of the entity entitled to audit financial statements was made pursuant to § 18 section 1 point 4 of the Company’s Statutes and in accordance with binding regulations and professional standards.

Legal ground: § 25 in connection with § 5 section 1 point 19 of the Regulation of the Minister of Finance dated February 19, 2009 on current and periodic information published by issuers of securities and on conditions under which such information may be recognized as being equivalent to information required by the regulations of law of a state which is not a member state.
