Contents of the report

With reference to the current report no. 50/2025 of December 18, 2025, the Management Board of PGE Polska Grupa Energetyczna S.A. (“PGE”) discloses that the conditions included in the conditional agreement regarding acquisition of FEW Bałtyk II offshore wind project from RWE have been fulfilled. As a consequence on March 10, 2026 Elektrownia Wiatrowa Baltica 9 sp. z o.o. (“Baltica 9” –the company from PGE Group) has acquired 100% shares in RWE Offshore Wind Poland sp. z o.o. - a company developing FEW Bałtyk II project with a capacity of approx. 350 MW, adjacent to Baltica 9 project. FEW Bałtyk II project possesses a support in the form of the Contract for Difference obtained within the so-called 1st Offshore phase, while Baltica 9 project possesses a support in the form of the Contract for Difference obtained in the auction conducted by the Energy Regulatory Office on December 17, 2025.

Acquisition of FEW Bałtyk II project allows PGE Group to obtain synergies resulting from the joint development of FEW Bałtyk II and Baltica 9 projects, which from now on will be developed as Baltica 9+ project with a capacity of approx. 1 325 MW.
