Appointment of the Management Board members of the 8th term

Contents of the report
The Management Board of PGE Polska Grupa Energetyczna S.A. (“PGE”, “Company”) informs that on March 16, 2011 the Supervisory Board of the Company adopted resolutions on:
- appointment of Mr. Tomasz Zadroga to the Management Board of the eighth term as from July 2, 2011 and entrusting him the position of the President of the Management Board,
- appointment of Mr. Wojciech Ostrowski to the Management Board of the eighth term as from July 2, 2011 and entrusting him the position of the Vice-President for Finance and Chief Financial Officer,
- appointment of Mr. Paweł Skowroński to the Management Board of the eighth term as from July 2, 2011 and entrusting him the position of the Vice-President of the Management Board for Operational Affairs,
- appointment of Mr. Marek Szostek to the Management Board of the eighth term as from July 2, 2011 and entrusting him the position of the Vice-President of the Management Board for Trading,
- appointment of Mr. Piotr Szymanek to the Management Board of the eighth term as from July 2, 2011 and entrusting him the position of the Vice-President of the Management Board for Corporate Affairs.
Mr. Tomasz Zadroga has stated that his activities outside PGE are not competitive in relation to activities of the Company and that he is not participating in a competitive company as a partner in a partnership, in a civil partnership or as a member of body of a capital association, and he is not participating in other competitive legal person as a member of its body.
Mr. Tomasz Zadroga has also stated that he is not registered in Register of Insolvent Debtors, being kept on the ground of Act on National Court Register dated August 20, 1997 (Dziennik Ustaw of 2007 No. 168, item 1186 as amended).
Mr. Wojciech Ostrowski has stated that his activities outside PGE are not competitive in relation to activities of the Company and that he is not participating in a competitive company as a partner in a partnership, in a civil partnership or as a member of body of a capital association, and he is not participating in other competitive legal person as a member of its body.
Mr. Wojciech Ostrowski has also stated that he is not registered in Register of Insolvent Debtors, being kept on the ground of Act on National Court Register dated August 20, 1997 (Dziennik Ustaw of 2007 No. 168, item 1186 as amended).
Mr. Paweł Skowroński has stated that until June 30, 2011 he is employed at Vattenfall Poland Sp. z o.o. He has stated that he is released by Vattenfall Poland Sp. z o.o. from the obligation to perform duties and is not subject to non-competition clause. He has stated that his other activities outside PGE are not competitive in relation to activities of the Company and that he is not participating in a competitive company as a partner in a partnership, in a civil partnership or as a member of body of a capital association, and he is not participating in other competitive legal person as a member of its body.
Mr. Paweł Skowroński has also stated that he is not registered in Register of Insolvent Debtors, being kept on the ground of Act on National Court Register dated August 20, 1997 (Dziennik Ustaw of 2007 No. 168, item 1186 as amended).

Mr. Piotr Szymanek has also stated that he is not registered in Register of Insolvent Debtors, being kept on the ground of Act on National Court Register dated August 20, 1997 (Dziennik Ustaw of 2007 No. 168, item 1186 as amended).
Information on experience and professional career of the persons selected to the Management Board of the eighth term is presented in the appendix to this current report.
