Contents of the report
The Management Board of PGE Polska Grupa Energetyczna S.A. (“PGE”, “Company”) discloses that on January 21, 2014 it adopted a resolution on granting of the joint commercial representation to Ms. Magdalena Bartoś. The joint commercial representation authorises Ms. Magdalena Bartoś to represent Company jointly with the member of the Management Board of the Company.
Ms. Magdalena Bartoś graduated from the Management Faculty at the University of Economics in Poznań. She has also completed ACCA exams. She has managed corporate finance area of production and trade companies, including stock-listed companies, and was a consultant with Ernst & Young.
In the period of June-December 2013 Ms. Magdalena Bartoś was a Chief Financial Officer at Enea Operator Sp. z o.o. Earlier she held a position of a Financial Director at Nike Poland Sp. z o.o. During 2009-2012 she held a position of the Management Board Member and Financial Director of Zelmer S.A. Group. In 2007-2009 she was employed by PKN Orlen Group and responsible for the post-merger integration of finance function in the Mazeikiai refinery where she held a position of the Deputy CFO in Mazeikiu Nafta, responsible for accounting, financial reporting and planning.
Ms. Magdalena Bartoś has stated that her activities outside PGE are not competitive in relation to activities of the Company and that she is not participating in a competitive company as a partner in a partnership, in a civil partnership or as a member of body of a capital association, and she is not participating in other competitive legal person as a member of its body.
Ms. Magdalena Bartoś has also stated that she is not registered in Register of Insolvent Debtors, being kept on the ground of Act on National Court Register dated August 20, 1997 (Dziennik Ustaw of 2007 No. 168, item 1186 as amended).
Legal ground: § 5 section 1 p. 22 and § 28 of the Regulation of the Polish Minister of Finance of February 19, 2009 on current and periodic information published by issuers of securities and on conditions under which such information may be recognized as being equivalent to information required by the regulations of law of a state which is not a member state.
