Adoption of the consolidated text of the Statutes of PGE Polska Grupa Energetyczna S.A.

The Management Board of PGE Polska Grupa Energetyczna S.A. (the „Company”) informs that on March 30, 2010 the Extraordinary General Meeting (the “EGM”) have taken a resolution about changes in Company’s Statutes and adopted the uniform text of the Company’s Statutes. The uniform text of the Statutes is attached to this current report (appendix no. 1).Changes in the Company’s Statutes introduced by resolution no. 3 of abovementioned EGM are attached to this current report (appendix no. 2).Legal ground: § 38 section 1 point 2 of the Regulation of the Minister of Finance dated February 19, 2009 on current and periodic information published by issuers of securities and on conditions under which such information may be recognized as being equivalent to information required by the regulations of law of a state which is not a member state.
