Contents of the report

The Management Board of PGE Polska Grupa Energetyczna S.A. („PGE”, „Company”) informs, that on August 31, 2010 the District Court of the City of Warsaw, XII Commercial Division of the National Court Register ("Register Court") registered the increase of share capital of the Company from the amount of PLN 17,300,900,000 to the total amount of PLN 18,697,837,270 i.e. by the amount of PLN 1,396,937,270, by way of an issue of 139,693,727 shares, including 73,241,482 series C bearer shares and 66,452,245 series D bearer shares with a par value of PLN 10 each. After the registration of the increase of the share capital the structure of the share capital is as follows:- 1,470,576,500 series A bearer shares with a par value of PLN 10 each;- 259,513,500 series B bearer shares with a par value of PLN 10 each;- 73,241,482 series C bearer shares with a par value of PLN 10 each;- 66,452,245 series D bearer shares with a par value of PLN 10 each.The total number of shares and votes resulting from all issued shares, after the registration of the changes to the value and structure of the share capital of PGE, amounts to 1,869,783,727.The registration of the share capital increase of the Company was conducted jointly with the registration of the merger described in the current report no 54/2010.Legal ground: § 15 in connection with § 5 section 1 point 9 of the Regulation of the Minister of Finance dated February 19, 2009 on current and periodic information published by issuers of securities and on conditions under which such information may be recognized as being equivalent to information required by the regulations of law of a state which is not a member state.
