Registration by court of increase of share capital and changes to the Company's Articles of Association

The Management Board of PGE Polska Grupa Energetyczna S.A. (the „Company”) informs that on November 30, 2009 the District Court of the City of Warsaw, XII Commercial Division of the National Court Register registered an increase of the Company’s share capital from PLN 14,705,765,000.00 to PLN 17,300,900,000.00 by way of issue of 259,513,500 ordinary series B bearer shares. The total number of votes resulting from all issued shares, after registration of the increase of share capital, amounts to 1,730,090,000 and the structure of the share capital is as follows:

- 1,470,576,500 ordinary series A bearer shares;

- 259,513,500 ordinary series B bearer shares.

The court decided also on changes in Company's Articles of Association, which will be published in English on Company's website.

Legal ground: § 5 section 1 p. 9 in connection with § 15 and § 38 section 1 p. 2 of the Regulation of the Polish Minister of Finance of February 19, 2009 on current and periodic information published by issuers of securities and on conditions under which such information may be recognized as being equivalent to information required by the regulations of law of a state which is not a member state.
