Purchase of PGE Polska Grupa Energetyczna S.A. bonds by its subsidiaries

Management Board of PGE Polska Grupa Energetyczna S.A. (“Company”, “PGE”) informs that on November 9, 2009 Company issued short-term PGE bonds under PGE Bond Program of up to PLN 5 billion, dated May 11, 2009, directed to companies from PGE capital group, that was described in issue prospectus, chapter XIV (“Bond Program”). Total nominal value of the bonds issue accounts for PLN 656,300,000. The bonds were purchased by direct or indirect PGE’s subsidiaries:

PGE ZEW Dychów S.A. purchased 103 short-term PGE bonds with nominal value of PLN 10,300,000 at unit price of PLN 99,665.30 with maturity date on December 9, 2009.
PGE ZEŁ-T Obrót Sp. z o.o. purchased 500 short-term PGE bonds with nominal value of PLN 50,000,000 at unit price of PLN 99,665.30 with maturity date on December 9, 2009.
PGE Rzeszowski Zakład Energetyczny S.A. purchased 120 short-term PGE bonds with nominal value of PLN 12,000,000 at unit price of PLN 99,665.30 with maturity date on December 9, 2009.
PGE Lubelskie Zakłady Energetyczne S.A. purchased 200 short-term PGE bonds with nominal value of PLN 20,000,000 at unit price of PLN 99,665.30 with maturity date on December 9, 2009.
PGE Górnictwo i Energetyka S.A. purchased 250 short-term PGE bonds with nominal value of PLN 25,000,000 at unit price of PLN 99,665.30 with maturity date on December 9, 2009.
PGE Elektrownia Turów S.A. purchased 3200 short-term PGE bonds with nominal value of PLN 320,000,000 at unit price of PLN 99,665.30 with maturity date on December 9, 2009.
PGE Elektrownia Opole S.A. purchased 300 short-term PGE bonds with nominal value of PLN 30,000,000 at unit price of PLN 99,665.30 with maturity date on December 9, 2009.
PGE Dystrybucja Rzeszów Sp. z o.o. purchased 450 short-term PGE bonds with nominal value of PLN 45,000,000 at unit price of PLN 99,665.30 with maturity date on December 9, 2009.
ZEW „Porąbka-Żar” S.A. purchased 150 short-term PGE bonds with nominal value of PLN 15,000,000 at unit price of PLN 98,815.60 with maturity date on February 9, 2010.
PGE Energia S.A. purchased 190 short-term PGE bonds with nominal value of PLN 19,000,000 at unit price of PLN 98,815.60 with maturity date on February 9, 2010.
PGE Elektrownia Opole S.A. purchased 200 short-term PGE bonds with nominal value of PLN 20,000,000 at unit price of PLN 98,815.60 with maturity date on February 9, 2010.
PGE Elektrociepłownia Rzeszów S.A. purchased 200 short-term PGE bonds with nominal value of PLN 20,000,000 at unit price of PLN 98,815.60 with maturity date on February 9, 2010.
PGE Dystrybucja Zamość sp. z o.o. purchased 500 short-term PGE bonds with nominal value of PLN 50,000,000 at unit price of PLN 98,815.60 with maturity date on February 9, 2010.
PGE Dystrybucja Warszawa-Teren Sp. z o.o. purchased 200 short-term PGE bonds with nominal value of PLN 20,000,000 at unit price of PLN 97,626.00 with maturity date on May 10, 2010.
Purchase of bonds results from the policy of cash management in PGE capital group.

Bonds were issued in compliance with the Law on Bonds, dated June 29, 1995 (Dziennik Ustaw of 2001, No. 120, item 1300 as amended), in Polish zlotys, as bearer, dematerialised, unsecured, zero-coupon bonds.

The buyout of the bonds will be at their nominal value. The nominal value of one bond is PLN 100,000.00

After the above bond issue, aggregate value of bonds issued under the Bond Program amounts to PLN 2,276,300,000 as of November 9, 2009.
