Opening of liquidation of a subsidiary

The Management Board of PGE Polska Grupa Energetyczna S.A. (the “Issuer”) advises that it has received information that on November 20, 2009 the Meeting of Shareholders of Bogatyńsko-Zgorzelecki Park Przemysłowo-Technologiczny "TURÓW Park" Sp. z o.o. (the “Subsidiary”) decided to dissolve the Subsidiary and open the liquidation proceedings. Mr Jarosław Janiak, acting as a President of the Management Board of the Subsidiary until November 20, 2009 became a liquidator. Request for opening the liquidation proceedings will be filed to District Court for Wroclaw-Fabryczna, 9th Commercial Division of the National Court Register.

The Subsidiary is Issuer's dependent entity under the accounting regulations binding on the Issuer, however in view of the insignificance of its balance sum and revenues, the Subsidiary is not consolidated in the Issuer’s financial statements. The shareholders of the Subsidiary, belonging to the Issuer’s capital group, are: PGE Elektrownia Turów S.A. (41.4% of Subsidiary's shares and 41.4% of the total votes) and PGE Kopalnia Węgla Brunatnego Turów S.A. (41.4% of Subsidiary's shares and 41.4% of the total votes).

Legal ground: § 5 section 1 p. 24 and § 30 p. 18 of the Regulation of the Polish Minister of Finance of February 19, 2009 on current and periodic information published by issuers of securities and on conditions under which such information may be recognized as being equivalent to information required by the regulations of law of a state which is not a member state.
