Contents of the report

The Management Board of PGE Polska Grupa Energetyczna S.A. (“PGE”) informs that on May 29, 2012, decided that Exatel S.A. will remain in the structure of PGE Capital Group.

The benefits of keeping Exatel in PGE Capital Group, currently surpass the potential profit from the sale of Exatel. Assets and know-how of Exatel may be effectively utilized in the current structure of the Group, within the construction of infrastructure and transfer of data, especially for the needs of electricity distribution segment.

PGE Group companies hold approximately 95.6% of shares in Exatel , which is the leading telecommunication operator in Poland managing the most modern transmission network in Poland, with a total length of approximately 20,000 kilometres.

Legal ground: Art. 56 section 1 point 1 of the Act on public offering, conditions governing the introduction of financial instruments to organised trading, and public companies (Dziennik Ustaw 2009 no 185, item 1439, as amended).
