Contents of the report
The Management Board of PGE Polska Grupa Energetyczna S.A. (“PGE”, “Company”) informs that on May 30, 2012 the Ordinary General Meeting of the Company adopted resolutions on:
* appointment of Mr. Marcin Zieliński to the Supervisory Board as of May 31, 2012 and entrusting him the position of the Chairman of the Supervisory Board,
* appointment of the following persons to the Supervisory Board as of May 31, 2012 and entrusting them the position of the member of the Supervisory Board:
- Mr. Maciej Bałtowski
- Mr. Jacek Barylski
- Mrs. Małgorzata Dec
- Mr. Czesław Grzesiak
- Mr. Grzegorz Krystek
- Mrs. Katarzyna Prus
Mr. Marcin Zieliński graduated from the Law and Administration Faculty at the University of Warsaw and postgraduate studies in finance at the Warsaw School of Economics. In 2003-2004 attended legislative professional training.
As of 2008, Mr. Marcin Zieliński has been the Director of the Ownership Supervision and Privatization III and currently is a Director of Privatization Department in the Ministry of State Treasury.
From May 2009, until February 2010 Vice-Chairman of the Supervisory Board at PHZ Baltona S.A. From May 2010, until September 2010, member of the Supervisory Board at Nordis Chłodnie Polskie Sp. z o.o. Former member of the supervisory boards at Stocznia Gdynia S.A and Elektrownia Zarnowiec S.A. Chairman of the Supervisory Boards in Electra Deutshland GmbH.
According to the submitted statement, Mr. Marcin Zieliński is affiliated with a shareholder holding shares representing not less than 5% of all voting rights at the General Meeting i.e. with State Treasury through employment at the Ministry of State Treasury.
Mr. Marcin Zieliński has stated that his activities outside PGE are not competitive in relation to activities of the Company and that he is not participating in a competitive company as a partner in a partnership, in a civil partnership or as a member of body of a capital association, and he is not participating in other competitive legal person as a member of its body.
Mr. Marcin Zieliński has also stated that he is not registered in Register of Insolvent Debtors, being kept on the ground of Act on National Court Register dated August 20, 1997 (Dziennik Ustaw of 2007 No. 168, item 1186 as amended).
Mrs. Magorzata Dec holds PhD in economics. Graduate of the Warsaw School of Economics. Currently holds the position of the Director of Research Department at the Ministry of State Treasury, member of the Supervisory Board of Huta Pokój S.A., former President of the Supervisory Board of RUCH S.A, Nafta Polska S.A., member of supervisory boards at Polskie Radio – Regional division Radio Gdansk S.A., Nordis Chłodnie Polskie Sp. z o.o., and Warszawski Rolno – Spożywczy Rynek Hurtowy S.A. According to the submitted statement, Ms. Małgorzata Dec is affiliated with a shareholder holding shares representing not less than 5% of all voting rights at General Meeting i.e. with State Treasury through employment at the Ministry of State Treasury.

As of 1996 Mrs. Katarzyna Prus has worked in the Ministry of the State Treasury, currently Head of the Legal and Litigation Department. As of 2001 Ms. Katarzyna Prus has been appointed to the examination board for candidates to supervisory boards in State Treasury companies.
Former chairman of the supervisory boards at Zespół Elektrociepłowni Poznańskich S.A., Uzdrowisko “Lądek-Długopole” S.A., Przedsiębiorstwo Spedycji Międzynarodowej C. Hartwig-Katowice S.A. and member of the Supervisory Board of Południowy Koncern Energetyczny S.A. As of 2006 Mrs. Katarzyna Prus has held the position of Member, then Chairman of the Supervisory Board of Fabryka Elementów Złącznych S.A..

In years 2001-2003 expert of the Parliamentary State Treasury Committee. Co-author of several projects related to the amendment of the Privatization Act. Former Chairman of supervisory boards at: Wschodni Bank Cukrownictwa S.A., Lubelska Fabryka Wag FAWAG S.A., and Miejskie Przedsiębiorstwo Wodociągów i Kanalizacji Sp. z o.o. As of November 2010, member of the Supreme Audit Office Board.

As of 2003 member of the Supervisory Board at PKP S.A.

As of 1995 member of the Management Board, and as of 2004 Vice President of the Management Board of TESCO (Polska) Sp. z o.o. (current place of main employment). President of the management boards at: Savia – Karpaty Sp. z o.o., Genesis Sp. z o.o., and Promesa Sp. z o.o. Vice-President of the management board at Kabaty Investments Tesco (Polska) Sp. z o.o. Sp.k. and a member of the management boards at Tesco Dystrybucja Sp. z o.o. and Jasper Sp. z o.o.

Participated in privatization and restructuring projects in the energy sector in Poland and abroad. Cooperated with New York State Electric & Gas Corporation, Westinghouse, Apache Corporation and market regulators in USA. At Arthur Andersen led projects in energy sector. Advised to a number of foreign investors. Advised to the Ministry of State Treasury in privatization processes in the sector. As a Head of Strategy and Energy Department at Elektrim S.A. responsible for financing arrangements and construction of Pątnów II power plant as well as restructuring of the Elektrim Group and energy assets portfolio management. Co-author of the National Emission Reduction Plan. At Vertis Environmental Finance introduced and developed secondary market for emission allowances in Europe. Expert in the Council of European Energy Regulators (CEER). Consultant to a number of entities from the energy sector in the fields of electricity trading model, restructuring, strategy and common practices in operational management. As of 2004 Vice-President at Hasbrouck Sp. z o.o. Member of the supervisory boards at: ZA PAK S.A., Elektrim Megadex S.A., Elektrim – Volt S.A., EM Yachts Sp. z o.o. Current main place of employment – “Partner” enterprise.
