On 27 October 2011, the Company concluded an agreement with the State Treasury and as a result it purchased the following:   - 82 479 shares of PGE Elektrownia Opole S.A., constituting 8.25% of the company's share capital; - 44 087 shares of PGE Górnictwo i Energetyka Konwencjonalna S.A. (PGE GiEK) with the registered office in Bełchatów, constituting 0.0068% of the company's share capital; - 96 shares of PGE Obrót S.A. with the registered office in Rzeszów, constituting 0.0019% of the company's share capital; - 24 423 shares of PGE Dystrybucja S.A. with the registered office in Lublin, constituting 0.0025% of the company's share capital.

The total transaction value was PLN 101 447 698.29. The transaction was a continuation of the process of consolidation and structure simplification within the PGE Capital Group. Its aim is to buy the minority share packages in the key companies of the PGE Capital Group. The State Treasury had acquired the shares as a result of the share conversion process execution pursuant to the Act of 7 September 2007 on the purchase of shares from the State Treasury under the power industry companies' consolidation process (Journal of Laws, 2007, no. 191, item 1367).

After the transaction PGE holds: - 932 479 shares of PGE Elektrownia Opole S.A., constituting 93.25% of the company's share capital, - 592 810 402 shares in PGE GiEK, which constitutes 91.04% of the company's share capital (a block of shares constituting 7.88% of the company's share capital is held by PGE Obrót S.A., while a block of shares constituting 0.02% of the company's share capital is held by PGE Energia Odnawialna S.A.), - 4 914 642 shares of PGE Obrót S.A., constituting 99.31% of the company's share capital, - 97 841 994 shares in PGE Dystrybucja S.A., which constitutes 10.05% of the company's share capital (a block of shares constituting 89.91% of the company's share capital is held by PGE Obrót S.A.). The other shares in the above mentioned companies are held by minority shareholders who are not connected with the PGE Capital Group.
